Affiliate Program Terms and Conditions

1. Definitions

  • Agency: Refers to Euro Electronics Group SRLS, with registered office in Via Agucchi 216, Bologna (BO), Italy, owner of the website www.luchianoperfume.com, including its possible mobile version (hereinafter, the “Site”).
  • Affiliate: Any natural or legal person who signs up for the Affiliate Program and promotes the Company's products through a personalized affiliate link.
  • Affiliate Program: The program offered by the Company that allows Affiliates to earn commissions for sales generated through their affiliate links.
  • Commission: The percentage of eligible sales earned by the Affiliate for each sale made through his affiliate link.
  • Commission Levels: Commission percentages that increase based on the total sales generated by the Affiliate, as specified in Section 4 of these Terms.
  • Eligible Sales: Sales confirmed and paid in full by customers that are not subject to returns or refunds.

2. Joining the Affiliate Program

  • Affiliate must complete the registration process by providing accurate and complete information, including payment receipt data.
  • The Company reserves the right to accept or reject any application for membership in the Affiliate Program at its sole discretion, without obligation to provide justification.
  • By participating in the Program, the Affiliate confirms that he or she is of legal age and has the legal capacity to enter into binding contracts.

3. Affiliate Obligations

  • Product Promotion: Affiliate agrees to promote the Company's products in a legal, ethical manner and in compliance with all applicable laws, including online advertising and marketing laws.
  • Compliance with Guidelines: The Affiliate shall follow all guidelines provided by the Company regarding the use of promotional materials, logos, images and any other content related to the Affiliate Program.
  • Prohibition of Deceptive Practices: Affiliate is prohibited from using deceptive practices, spam, black hat SEO techniques or any other illegal techniques to promote the Company's products.

4. Commission Levels

  • Level 1 (10%): Each new Affiliate will earn a 10% commission on every Qualifying Sale made through their affiliate link.
  • Level 2 (20%): After generating Qualifying Sales totaling 250 Euros, the Affiliate's commission will increase to 20% on all subsequent sales.
  • Level 3 (30%): After generating Eligible Sales totaling 500 Euros, the Affiliate's commission will increase to 30% on all subsequent sales.
  • Sales Calculation: Sales accumulate progressively and levels are reached automatically when the indicated sales thresholds are exceeded.

5. Commission Payments

  • Periodicity: Commissions will be calculated and paid monthly, within 30 business days of the end of the month.
  • Payment Method: Payments will be made via PayPal or bank transfer, as indicated by the Affiliate during registration.
  • Minimum Amount: Payment will be made only if the amount of accrued commissions exceeds 50 Euros. If this threshold is not reached, the amount will be accumulated and transferred to the following month.
  • Fiscal Responsibility: The Affiliate is responsible for any tax obligations arising from payments received under the Affiliate Program.

6. Conditions of Sale

  • Eligible Sales: Only confirmed, non-cancelled and non-refunded sales are eligible for commission.
  • Returns and Refunds: If a product sold through the affiliate link is subsequently returned or refunded, the Company reserves the right to deduct the amount of the commission paid to the Affiliate from the next payment.
  • Fraud: The Company reserves the right to disqualify any sale it deems to be fraudulent or in violation of applicable laws, as well as to take legal action against the Affiliate.

7. Privacy and Intellectual Property

  • Confidentiality: The Affiliate undertakes to keep all confidential information received from the Company confidential and not to disclose it to third parties without prior written authorization.
  • Intellectual property: All promotional materials provided by the Company, including logos, images and content, remain the exclusive property of the Company. The use of such materials is permitted only for the purposes of the Affiliate Program and in accordance with the guidelines provided.

8. Changes to Program Terms

  • Right to Modify: The Company reserves the right to modify, suspend or terminate the Affiliate Program, as well as update these Terms and Conditions at any time.
  • Notification of Changes: Changes to the Terms and Conditions will be communicated to Affiliates via email or by posting on the Site. The Affiliate will have 14 days to accept the changes or terminate their participation in the Program. Continued use of the Program after the change will constitute implicit acceptance of the new terms.

9. Program Duration and Termination

  • Duration: This Agreement shall be effective from the date of approval of the Affiliate's registration in the Affiliate Program and shall remain in effect until terminated.
  • Termination by the Affiliate: Affiliate may terminate their participation in the Program at any time by providing the Company with at least 14 days' written notice.
  • Termination by the Company: The Company reserves the right to terminate Affiliate's participation in the Program at any time, with or without cause, by providing 14 days' written notice. Termination may occur without notice in the event of a breach of these Terms and Conditions.

10. Limitation of Liability

  • The Company shall not be liable for any indirect, incidental, consequential or punitive damages arising from participation in the Affiliate Program, including, but not limited to, loss of profits, revenues or data.
  • The Company does not guarantee that the Site or the Affiliate Program will always be available or error-free and reserves the right to suspend service for maintenance or updates.

11. Force Majeure

  • The Company shall not be liable for failures or delays due to causes of force majeure, such as strikes, embargoes, wars, civil disturbances, natural disasters, acts of terrorism, telecommunications disruptions, etc.

12. Applicable Law and Jurisdiction

  • These Terms and Conditions are governed by Italian law.
  • Any dispute arising from these Terms and Conditions shall be subject to the exclusive jurisdiction of the Court of Bologna, Italy.

13. Acceptance of Terms

  • By participating in the Affiliate Program, the Affiliate declares to have read, understood and accepted these Terms and Conditions in all their parts.
